What is FUNDSITION?

FUNDSITION is an investing platform that provides vetted investment opportunities for its accredited investor members. Stax Capital is a registered broker-dealer and provides the compliance and regulatory oversight for FUNDSITION.

Do I have to be an accredited investor?

The offerings on the FUNDSITION platform are available to accredited investors only due to federal securities laws. All applicants must self-certify to qualify and will be asked to re-confirm each time you invest. All personal information will be kept private in accordance with our privacy policy.

What is an accredited investor?

Any natural person whose individual net worth, or joint net worth with spouse exceeds $1,000,000, excluding any equity in their primary residence or any natural person who had an individual income in excess of $200,000 for each of the two most recent years or joint income with a spouse in excess of $300,000 for each of those years, and has a reasonable expectation of reaching the same income level in the current year.

Who is Andes Capital?

Andes Capital is a registered broker-dealer and a member of FINRA/SIPC/MSRB. Andes Capital provides the compliance and regulatory oversight for FUNDSITION. All securities available on FUNDSITION are offered via Andes Capital.

Do I have to provide any personal information to invest?

Yes, you will need to provide your personal information. FUNDSITION is required to complete an identity verification procedure for know your customer purposed. We will need to verify information such as your address, date of birth and SSN#.  This information is also need to produce your end of the year K1 and 1099 tax forms. Who can help me with questions?

What fees can I expect to pay when investing in a fund?

The terms of each offering are specific to that investment and will depend on the offering structure. Fees can vary based on the offering and details will be available for review on the offering page and in the Private Placement Memorandum, use of proceeds page.

Can I invest through my IRA retirement account?

Yes, we partner with multiple custodians who allow Self Directed IRA owners to invest in the types of funds offered on the FUNDSITION US platform.

Is there tax documentation sent and by whom?

We work diligently with sponsors to deliver you tax information in a timely manner. You will receive either a K-1 or 1099 Div for your investments.

What risks are involved with these types of investments?

All securities on the FUNDSITION platform involve a high degree of risk and may result in partial or total loss of your investment.

Performance Not Guaranteed: Past performance is no guarantee of future results. Any historical returns, expected returns, or probability projections are not guaranteed and may not reflect actual future performance.

Risk of Loss: Private Placement securities involve a high degree of risk and are speculative, which may result in a partial or total loss of your investment.

Liquidity Not Guaranteed: Investments made available to accredited investors on this platform and through FUNDSITION are illiquid and there is never any guarantee that you will be able to exit your investments on the Secondary Market or at what price an exit (if any) will be achieved.

Market Risk: Investments are subject to all market related risks including general economic risks and property specific submarket or location risks.

Economic Risk: Alternative investments are subject to changes in the economy including recession, inflation, pandemics and other economic risks.

Risks of Real Estate Investment: Investments will be subject to the risks generally incident to the investment in real property. Real estate historically has experienced significant fluctuations and cycles in value, and specific market conditions may result in reductions in the value of real property interests.

Local Market Conditions (Real Estate)

The risks that may further affect conditions in these geographic areas include the following:

  • The local economic climate (which may be adversely affected by industry slowdowns, decreases in government spending, and other factors)
  • Downturn in the economy
  • The local real estate conditions (such as an oversupply of properties)
  • A decline in business growth that adversely affects occupancy or rental rates
  • The inability or unwillingness of tenants to pay rent increases
  • An adverse change in local governmental procedures
  • The local rental market may limit the extent to which rents may be increased to meet increased expenses without decreasing occupancy rates.

What happens if the Sponsor (Issuer)doesn’t reach their capital goal?

Most investment offerings on the FUNDSITION platform achieve or exceed their capital raise. In the event that an offering fails to hit their target, the Sponsor will typically accept the reduced investment amount and fund the balance directly or through other investors. In the event the capital raised is too low, all investor capital will be refunded in full.

Can I sell or liquidate my investment?

The offerings on the FUNDSITION platform are restricted securities, which are highly illiquid. Investors should expect to hold the investment until there is a liquidation event. If special circumstances occur, you may be able to resell your securities in a private transaction.

How much of a return can I expect to make?

Returns can vary based on the risk profile of each transaction and the terms of the offering.  FUNDSITION and Stax Capital have target ranges that must be forecasted to be considered for the platform.

How do I know my personal information is protected?

FUNDSITION places great importance on protecting your personal information and keeping it secure. We utilise SSL browser encryption and store all of our data on servers in secure facilities. FUNDSITION utilizes best practices for data security, ensuring the best in market cyber security measures are in place. How do I fund the investment?

Once you have reviewed the PPM, received answers to all your questions and determined to invest in a specific offering, you will be guided through the secure online process to complete your investment. You will be able to fund multiple ways, via secure ACH deposits, wire or check by mail.

What is the minimum investment?

The preferred minimum investment is $25,000, but there will be exceptions when the amount is smaller.

Can I invest through my LP, Trust or LLC?

Yes, you can invest through an entity. The entity or trust is required to be an accredited investor and must have total assets in excess of $5,000,000 or each owner of the entity or trustee of the trust must be an accredited investor as an individual.
